Terms of Service

1. Provider and contact

Invogi provides the software described in these terms. Questions about the service or these terms can be sent to hello@invogi.com. The contracting business identity shown in your order form or Paddle checkout forms part of your agreement.

2. The service

Invogi provides pre-payment invoice control software, including a historical AP Risk Scan and the recurring Invoice Firewall service. Features may include duplicate and near-duplicate detection, supplier anomaly detection, bank-detail change alerts, purchase-order tolerance checks, structured e-invoice validation, evidence, audit history, APIs, and integrations. Your plan or order form identifies the features, usage volume, support, and implementation scope included in your purchase.

Invogi does not execute payments, replace your ERP or approval workflow, provide legal or tax advice, or guarantee detection of every incorrect, fraudulent, duplicate, anomalous, or non-compliant invoice. PASS, REVIEW, and BLOCK outputs support your own decision-making; BLOCK is advisory unless your integration enforces it.

3. Accounts and acceptable use

You must provide accurate account information, protect credentials and API keys, maintain authorized users, and promptly report suspected unauthorized access. You may not misuse the service, interfere with its operation, probe it without written authorization, upload unlawful or infringing material, or use it to violate another person's rights or applicable law.

4. Customer data

You retain rights in data you submit. You grant Invogi the limited rights needed to host, process, transmit, and analyze that data to provide, secure, support, and improve the service. You are responsible for having a lawful basis and all necessary permissions to submit the data. Our Privacy Policy and Data Processing Agreement explain our handling of personal data.

5. Fees, subscription renewal, and tax

The free AP Risk Scan includes the limits stated on our Pricing page. Paid Invoice Firewall plans are recurring subscriptions. Before purchase, your quote and checkout show the price, currency, billing interval, included volume, overage terms, applicable tax treatment, and deliverables. Subscriptions renew automatically for the same interval until cancelled.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

6. Cancellation and refunds

You may cancel before renewal through your account or by contacting hello@invogi.com. Access continues through the current paid period unless the service is terminated for cause. The next renewal will not be charged. Refund eligibility is described in our Refund Policy, including the 30-day money-back guarantee for a first paid Invoice Firewall charge.

7. Intellectual property

Invogi and its licensors own the service, software, documentation, trademarks, and related intellectual property. Subject to these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the service during your subscription for your internal business purposes.

8. Confidentiality

Each party will protect the other's non-public confidential information with reasonable care, use it only to perform the agreement, and disclose it only to personnel and providers who need it and are subject to appropriate duties. This does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received from another source.

9. Availability and changes

We work to keep the service available and secure, but do not promise uninterrupted or error-free operation. We may change features to improve safety, compliance, or functionality. We will not materially reduce the core paid service during a current term without reasonable notice, except where needed urgently for security or law.

10. Suspension and termination

We may suspend access to address a security risk, unlawful use, material breach, or overdue payment after reasonable notice where practical. Either party may terminate for an uncured material breach. Sections intended by their nature to survive termination remain effective.

11. Disclaimers and liability

To the maximum extent permitted by law, the service is provided without implied warranties not expressly stated here. Neither party is liable for indirect, incidental, special, punitive, or consequential loss, or lost profits, revenue, goodwill, or data, except where such exclusion is unlawful. Nothing in these terms excludes liability that cannot legally be excluded or limits mandatory consumer rights.

12. Changes to these terms

We may update these terms. We will post the revised version with a new effective date and give reasonable notice of material changes. Continued use after the change takes effect constitutes acceptance where permitted by law.
